THE DUAL-TRACK DIFFERENCE

Sometimes an owner has not settled on one path. They might say: we want to raise growth capital, unless a strategic buyer offers a knock-out price, in which case we would sell.

A Dual-Track runs a sale process and a capital raising simultaneously, creating genuine competition between outcomes. This consistently delivers better terms than a single-path process and lets the owner choose the option that best meets their objectives.

Few mid-market advisers can execute it well. It demands senior capability across both M&A and capital markets, distinct acquirer and investor networks, and the discipline to run two complex processes in parallel without losing momentum on either.

Conquest Capital has that capability, and has deployed it to let owners select the value and structure that suits them best.

Client Testimonials

What Our Clients Say

"John recently advised me on the sale of my business, providing sound leadership and independent advice on commercial matters throughout the transaction. He added significant value in negotiating the final offer terms, in particular the sale price. He was adept at negotiating with an experienced counter-party, balancing the need to draw a line in the sand on some issues, whilst finding pragmatic solutions to others. I would not hesitate recommending him."
Martin Hill
Owner , EstateMaster
"This was a critical transaction for myself and my partners as it was the culmination of decades of work in building our soft drink business. John and his team worked closely with Tru Blu and acted as a strong intermediary in leading negotiations with an experienced, serial acquirer supported by a large team of due diligence advisers from a big-4 accounting and global legal firm. He acted as a strong advocate for our interests in obtaining the best price possible, but was always mindful of achieving the ultimate goal of securing a sale of the business on fair terms. His management of the process from the Tru Blu side and engagement with Refresco made the process relatively smooth, even though it was intense. John was also clear and transparent in his communications with us of the status of the transaction and any issues that had arisen or were expected to arise and how Tru Blu should respond to these. We could not be happier with the result and would recommend Conquest Capital to any owner seeking to sell their business."
Peter Brooks
Owner, Tru Blu (December 2022)
"Simply put, this sale would not have happened without John and his team. The intensity of the transaction and detailed scrutiny of Fleetsu’s business was met by a logical and measured firmness from John, who negotiated hard on key matters, but was pragmatic to resolve issues so that the vision of the overall merger was achieved. He was in command and across all of the varied issues that the transaction threw at him – scrip for scrip taxation issues, acquirer demerger, relative valuation, Fleetsu financial forecasts and due diligence, Rand McNally financial forecasts and due diligence, issues arising from the legal documentation and process management. Most importantly he was able to bridge the cultural and structural differences of doing transactions between a US private equity firm and their New York counsel and the Australian way of normally undertaking these. Whilst he took a strategic view across the entire transaction, he was across all of the detail and on many occasions rolled up his sleeves to “get it done”. I have worked with John a number of times since he first assisted us 5 years ago with a capital raising. He is transparent and open with his advice, has excellent problem-solving skills and brings with it absolute integrity and tenacity to work in the best interests of Fleetsu."

The Deal Diaries - "Know Your Value"

THE DEAL DIARIES – KNOW YOUR VALUE! Be bold when you hold the cards. Humble when you don't. Some of the best deal outcomes I have seen didn't come from a clever process, but from an owner who truly understood the strategic value of the business they owned.

Comments on AFR article re state of deal market

THE CONTRADICTORY DEAL-MARKET! The AFR recently ran an interesting article (link in comments) on the contradictory state of the current deal market. Dealogic data shows that whilst announced M&A involving Australian companies is up 30% in 2026, the number of deals has fallen to its lowest level in over 20 years. A handful of mega-deals (which may fall over) are driving the uplift in value, whilst the rest of the market is down.
